By accessing, enrolling, partnering, or engaging with Learnova in any form, you agree to be bound by these Terms.

1. Definitions

• “User / Participant” – Students, individuals, institutions, customers

• “Institution” – Schools, colleges, universities, training institutes

• “Franchise Partner” – Authorized partner operating Learnova VR Education / Entertainment services

• “Services” – Workshops, Interactive Experience, FEETVR, VR Labs, VRX Points, training, events, and related offerings

2. General Use of Services

1. All services are provided subject to availability and prior confirmation.

2. Learnova reserves the right to modify, reschedule, or cancel any service due to operational or technical reasons.

3. Participation in VR experiences is voluntary and subject to safety guidelines.

3. Terms for Institutions (Schools & Colleges)

3.1 Interactive Experience, Workshops & Lab Setup

1. Institutions must provide:

   • Adequate classroom / lab space

   • Internet connectivity

   • Smart board or projector facility (where applicable)

2. Learnova will provide:

   • VR headsets and accessories

   • Educational VR content and applications

   • Trained facilitators and technical support

3. Curriculum / syllabus-based content will be provided only on demand purchase or as agreed in writing.

4. Institutions are responsible for:

   • Student discipline during sessions

   • Infrastructure readiness

   • Obtaining parental consent where required

5. Learnova is not responsible for:

   • Academic grades or examination outcomes

   • Institutional policy compliance

4. Terms for VR Workshops & FEETVR Programs

1. FEETVR and VR Workshops are skill development and awareness programs, not job placement guarantees.

2. Certificates are issued only after successful participation and assessment.

3. Learnova does not guarantee employment, freelancing income, or business success.

4. Students must bring required devices (laptop, internet) where specified.

5. Franchise Terms – VR Education & Entertainment

5.1 Franchise Scope

1. Franchise Partners are authorized to operate:

   • Learnova VR Education Academy

   • Learnova VRX Point (Entertainment Experience Center)

2. Franchise rights are non-transferable without written approval from Learnova.

5.2 Franchise Partner Responsibilities

1. Maintain Learnova brand standards, quality, and ethics.

2. Use only approved content, software, and branding materials.

3. Ensure safe handling and maintenance of VR equipment.

4. Employ trained staff approved or certified by Learnova.

5.3 Learnova Responsibilities to Franchise Partners

1. Provide:

   • Brand usage rights

   • Training & operational guidance

   • Content access (as per agreement)

   • Technical and marketing support

2. Learnova may update content, software, or branding standards periodically.

5.4 Financial & Commercial Terms

1. Franchise fees, revenue sharing, and renewal terms are governed by the Franchise Agreement.

2. Non-payment or breach may lead to suspension or termination of franchise rights.

3. All financial obligations must be honored as per agreed timelines.

6. Intellectual Property Rights

1. All Learnova content, software, curriculum, branding, and VR applications remain the exclusive intellectual property of Learnova.

2. Franchise Partners and Institutions may not replicate, resell, or distribute content without authorization.

7. Safety & Health Disclaimer

1. VR experiences may not be suitable for individuals with:

   • Severe motion sickness

   • Epilepsy or neurological conditions

2. Participation is at the user’s discretion.

3. Learnova is not liable for discomfort arising from misuse or overuse of VR equipment.

8. Limitation of Liability

1. Learnova shall not be liable for:

   • Loss of revenue, profits, or business

   • Indirect or consequential damages

   • Outcomes dependent on individual skill or effort

2. Liability, if any, is limited to the amount paid for the specific service.

9. Termination of Services or Franchise

1. Learnova reserves the right to terminate:

   • Services to institutions for breach of terms

   • Franchise agreements for misconduct, non-compliance, or misuse

2. Upon termination, brand usage rights must cease immediately.

10. Amendments

Learnova may update these Terms at any time. Continued engagement constitutes acceptance of revised Terms.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India.
All disputes shall be subject to the jurisdiction of Tamil Nadu courts.
